1. Acceptance of Terms

By accessing or using the Inkept platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service. We may update these Terms from time to time; your continued use after changes constitutes acceptance.

2. Service Description

Inkept is an AI-powered software-as-a-service platform that automates accounts payable (AP) and accounts receivable (AR) workflows. The Service uses artificial intelligence to process invoices, categorize transactions, match purchase orders, manage payment scheduling, and generate financial reports. The Service is a workflow automation tool and does not itself move, hold, or transmit funds.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete registration information.
  • Keep your login credentials secure and confidential.
  • Notify us immediately of any unauthorized access.
  • Ensure that users within your organization comply with these Terms.

4. Acceptable Use

You may not use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Upload fraudulent, misleading, or falsified financial data.
  • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Interfere with the security, integrity, or performance of the Service.
  • Resell, sublicense, or redistribute the Service without written consent.

5. Financial Data Disclaimer

Inkept is a technology company providing workflow automation software. We are not a licensed financial advisor, bank, money services business, or registered broker-dealer. The Service does not provide financial, investment, tax, or legal advice.

AI-generated outputs such as payment recommendations, categorizations, and forecasts are provided for informational purposes only. You are solely responsible for reviewing and approving all financial decisions and ensuring compliance with applicable accounting standards and regulations.

6. Data Processing and Storage

By using the Service, you grant Inkept a limited, non-exclusive right to process, store, and analyze your data solely for the purpose of providing and improving the Service. We process financial documents using AI models and third-party integrations as described in our Privacy Policy. Data is encrypted at rest and in transit, and we maintain industry-standard security controls.

7. Intellectual Property

All rights, title, and interest in the Service, including its software, AI models, user interface, documentation, and trademarks, remain the exclusive property of Inkept. You retain ownership of the data you upload to the Service. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described herein.

8. Limitation of Liability

To the maximum extent permitted by law, Inkept shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of the Service. Our total aggregate liability shall not exceed the amounts paid by you to Autonomous Finance in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access if you breach these Terms or if continued use poses a risk to the Service or other users. Upon termination, you may request an export of your data within thirty (30) days, after which we may delete it in accordance with our data retention policies.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
